These Terms of Service constitute a legally binding agreement between you and The C-Suite by Connect, owner and operator of REIGN (Rights & Earnings Intelligence Guide for NIL) at reignnil.com.

BY CREATING AN ACCOUNT, ACCESSING, OR USING REIGN, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT ACCESS OR USE THE SERVICE.

What REIGN Is

REIGN is an AI-powered educational platform designed to help college athletes, parents, guardians, coaches, trainers, and athletic directors understand NIL contracts and related rules. REIGN provides:

• AI-powered plain-language explanations of NIL contract clauses
• Educational Q&A about NIL rules, regulations, and compliance
• Contract upload and analysis tools that identify and explain key clauses
• A Contract Vault for storing and referencing NIL contracts
• A Learn Hub containing educational resources about NIL law
• NIL Updates notifications about changes in NIL rules

All content, analyses, responses, and information provided by REIGN is for EDUCATIONAL PURPOSES ONLY. No content should be construed as legal advice or a recommendation to take any legal action. Before signing any NIL contract or making any legal decision, consult with a licensed attorney in your jurisdiction.

BY USING REIGN YOU EXPRESSLY ACKNOWLEDGE THAT REIGN IS AN EDUCATIONAL TOOL ONLY AND THAT YOU WILL NOT RELY ON REIGN'S CONTENT AS LEGAL ADVICE.

Age Requirements

You must be at least 13 years of age to use REIGN. Users between 13 and 17 may only use REIGN with prior consent of a parent or legal guardian. Users under 13 are strictly prohibited.

Account Creation

You agree to provide accurate, current, and complete information during registration, maintain security of your account credentials, notify us immediately of unauthorized use at contact@reignnil.com, and accept responsibility for all activities under your account.

Subscription Tiers

• The Playbook (Free): 3-5 NIL questions per month, basic NIL education, limited state law access, up to 5 saved responses
• The Advisor ($9.99/month or $95.88/year): 25 NIL questions per month, 1 contract upload and analysis per month, clause-by-clause breakdown, red-flag alerts, state-law dashboard, up to 25 saved responses
• The Real MVP ($19.99/month or $191.88/year): Everything in The Advisor plus unlimited contract uploads, unlimited comparisons, full compliance alerts, unlimited saved responses

Payment Processing

All payments processed by Stripe, Inc. By providing payment information you agree to Stripe's Terms of Service and authorize recurring charges until cancellation.

Cancellation

Cancel anytime through account settings or at contact@reignnil.com. Cancellation takes effect at end of current billing period. No refunds for partial periods.

In-App Purchases

Subscriptions through Apple App Store are subject to Apple's payment terms. Subscriptions through Google Play are subject to Google's payment terms. We recommend subscribing at reignnil.com to avoid third-party platform fees.

Permitted Uses

• Uploading your own NIL contracts for educational analysis
• Asking questions about NIL rules for your own educational benefit
• Sharing platform-generated educational content for non-commercial informational purposes

Prohibited Uses — You agree not to:

• Upload contracts belonging to third parties without their express written consent
• Provide false or fraudulent information
• Attempt to circumvent subscription tier limits
• Reverse engineer REIGN or its AI systems
• Use AI outputs as actual legal advice or represent them as such
• Redistribute or commercially exploit REIGN's content
• Use automated tools or scrapers to access REIGN
• Attempt unauthorized access to REIGN's systems or other users' accounts
• Upload malicious files or content designed to harm REIGN's infrastructure
• Use REIGN in violation of applicable law

You retain full ownership of all content you upload to REIGN. By uploading you grant us a limited non-exclusive royalty-free license to process, store, and analyze your content solely to provide the Service. This license terminates when you delete your content or account.

By uploading content you represent that you own it or have the right to upload it, it does not violate third-party rights, and you are uploading for lawful educational purposes only.

The REIGN platform, software, design, brand identity, AI system prompts, and knowledge base are owned by The C-Suite by Connect and protected by United States and international intellectual property laws. The REIGN name, wordmark, and brand elements are trademarks of The C-Suite by Connect.

REIGN integrates with Anthropic, Supabase, Stripe, Google, and Apple. Your use of these services is subject to their respective terms and privacy policies. We are not responsible for third-party provider practices.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID TO REIGN IN THE TWELVE MONTHS PRECEDING THE CLAIM OR ONE HUNDRED DOLLARS ($100).

YOU EXPRESSLY AGREE THAT RELIANCE ON ANY EDUCATIONAL CONTENT PROVIDED BY REIGN IS AT YOUR SOLE RISK.

You agree to indemnify and hold harmless The C-Suite by Connect from claims arising out of your violation of these Terms, your User Content, your use of the Service, or your violation of any applicable law.

Before formal dispute resolution, contact us at contact@reignnil.com to resolve disputes informally. We will attempt resolution within 30 days.

Any unresolved dispute shall be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules in Charlotte, North Carolina or remotely.

BY AGREEING TO THESE TERMS YOU WAIVE THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN A CLASS ACTION.

These Terms are governed by the laws of the State of North Carolina without regard to conflict of law provisions. Legal actions not subject to arbitration shall be filed in state or federal courts in Mecklenburg County, North Carolina.

We may modify these Terms at any time. We will notify you of material changes by email at least 30 days before changes take effect. Continued use after the effective date constitutes acceptance.

We may suspend or terminate your account for conduct that violates these Terms, applicable law, or is harmful to other users or the Company. Sections 2, 7, 9, 10, 11, and 12 survive termination.

• Entire Agreement: These Terms and Privacy Policy constitute the entire agreement between you and the Company
• Severability: If any provision is unenforceable the remaining provisions continue in effect
• Waiver: Failure to enforce any right is not a waiver
• Assignment: You may not assign your rights. We may assign ours without restriction
• No Third-Party Beneficiaries: These Terms do not create third-party beneficiary rights
